IMPORTANT — THIS TERMS OF SERVICE AGREEMENT ("AGREEMENT") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR ENTITY) ("YOU" OR "YOUR") AND LEASESTRACT (HEREINAFTER "COMPANY," "WE," "US" OR "OUR") THAT SETS FORTH THE LEGAL TERMS AND CONDITIONS FOR YOUR USE OF WWW.LEASESTRACT.COM AND THE LEASESTRACT SERVICE (THE "SERVICE").
1. Agreement and Acceptance
BY USING THE SERVICE, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. WE RESERVE THE RIGHT TO CHANGE THE TERMS AND CONDITIONS OF THIS AGREEMENT AT ANY TIME. IF WE CHANGE THIS AGREEMENT, WE WILL GIVE YOU NOTICE BY POSTING THE REVISED AGREEMENT ON OUR WEBSITE. THOSE CHANGES WILL GO INTO EFFECT ON THE EFFECTIVE DATE SHOWN IN THE REVISED AGREEMENT. BY CONTINUING TO USE THE SERVICE AFTER THE NEW EFFECTIVE DATE, YOU AGREE TO BE BOUND BY SUCH CHANGES.
2. Description of Service
LeaseStract provides AI-powered lease abstraction services for commercial real estate leases. The Service extracts structured data from lease documents including, but not limited to, rent schedules, tenant information, critical dates, CAM charges, renewal options, amendment history, red flags, and other lease terms. The Service processes multi-document packages — including the original lease and all amendments — together. We target processing times of approximately 5 minutes for standard lease documents. Actual processing time may vary based on document complexity, file size, and system load. The Service is provided on an "as-is" basis.
3. User Account and Data
You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information when creating your account. You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.
4. Acceptable Use
When you use the Service, you agree not to: violate any law or regulation; upload or transmit viruses or malicious code; attempt to gain unauthorized access to the Service or its related systems; use any automated means to access the Service except through our documented interfaces; reverse engineer, decompile, or disassemble any part of the Service; remove or modify any proprietary notices or labels; use the Service to compete with us or create a similar service; or share your account with third parties without authorization.
5. Customer Data and Intellectual Property
You retain all ownership rights to any documents, data, or content you upload to the Service ("Customer Data"). By uploading Customer Data, you grant us a limited license to process, store, and analyze such data solely for the purpose of providing the Service to you. We will not use your Customer Data to train our AI models or share it with third parties except as required to provide the Service or as required by law. All intellectual property rights in the Service, including software, algorithms, and output formats, remain the exclusive property of LeaseStract.
6. Accuracy and Warranty Disclaimer
While we strive for high accuracy in our lease abstraction services, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY ACCURATE. Results may vary based on document quality and complexity. YOU ARE RESPONSIBLE FOR REVIEWING ALL EXTRACTED DATA FOR ACCURACY. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME ALL RISK AND RESPONSIBILITY FOR YOUR USE OF THE SERVICE. The Service does not constitute legal advice, legal opinion, or legal representation.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASESTRACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY CUSTOMER DATA STORED THEREIN; (C) ANY ERRORS OR INACCURACIES IN THE EXTRACTED DATA; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (II) ONE HUNDRED DOLLARS ($100).
8. Payment and Billing
Payment is required before we process your lease documents. You agree to pay all fees according to the pricing displayed on our website at the time of purchase. Pricing is determined by the total size and complexity of the uploaded documents and is displayed before payment. All sales are final. Refunds are only provided where required by applicable law. We reserve the right to change our pricing at any time. We accept payment via credit card or other payment methods we make available through our payment processor, Stripe.
9. Saved Payment Methods
When you make your first purchase, your payment method may be securely saved through our payment processor, Stripe, for future transactions. Subsequent purchases can be completed using your saved payment method without re-entering payment details. You may use a different payment method at any time by selecting the appropriate option at checkout.
10. Data Security and Privacy
We implement industry-standard security measures to protect Customer Data, including: (a) encryption at rest using AES-256 and in transit using TLS 1.2 or higher; (b) hosting on Supabase, which maintains SOC 2 Type 2 certification and runs on Amazon Web Services (AWS) infrastructure; (c) PostgreSQL database with Row Level Security (RLS) to isolate customer data; (d) token-based authentication; and (e) automated daily encrypted backups. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference.
11. Termination
Either party may terminate this Agreement at any time with or without cause. Upon termination, your right to use the Service will immediately cease. We will provide you with access to download your Customer Data for thirty (30) days following termination, after which we may delete all Customer Data from our systems. Sections 5, 6, 7, 13, and 14 shall survive termination.
12. Modifications to Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
13. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Wyoming without regard to conflicts of law principles. Any dispute arising from this Agreement shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, conducted in Sheridan, Wyoming. Each party shall bear its own costs. The arbitrator's decision shall be final and binding.
14. General Provisions
This Agreement constitutes the entire agreement between you and LeaseStract regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision shall not constitute a waiver. This Agreement may not be assigned by you without our written consent but may be assigned by us without restriction.
15. State-Specific Provisions
California Residents: Under California Civil Code Section 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210 for assistance with complaints or inquiries. All U.S. Residents: If you reside in a state with consumer privacy legislation (including but not limited to California, Virginia, Colorado, Connecticut, Utah, Montana, Oregon, or Texas), you may have additional rights regarding your personal information as described in our Privacy Policy.
16. Data Breach Notification
In the event of a data breach affecting your personal information or Customer Data, we will provide notice to you and any applicable regulatory authorities as required by applicable state and federal law, without unreasonable delay.
